本合同签于卖方与买方之间，双方同意按照本合同所列条款由卖方出售，买方购进下列货物用于2019年度保养漆供应项目。
This Contract is made by and between Seller and Buyer(s). Whereby the Seller agrees to sell and the Buyer(s) agree to buy the mentioned commodity (ies) for the project of ANNUAL CONTRACT OF 2019FOR SS hereunder according to the terms and conditions stipulated below.
合同双方可以对本合同项下所供应货物的数量和总价进行调整。货物最终的数量和总价以卖方实际交付的货物数量和总价为准。货物单价仅对本项目有效。
The quantity and total price of the commodity (ies) supplied may be adjusted as agreed between the parties. The final quantity and total price are as finally delivered to the Buyer. The unit price is valid for this project only.
2.上述价格已含16％销售增值税，但不包括因政府政策变更而产生的其它适用税费。
The price(s) specified above include 16% of sales VAT,but doesn’t include other applicable taxes and fees generated by govement policy changes.
3.保险：卖方对由其运输的货物按发票总值的110％投保货物运输险，如买方欲增加上述保险以外的其他险别或超过上述额度保险时，须事先征得卖方同意，其增保费用由买方负担。
Insurance: the commodity (ies) transported by the Seller is to be covered by transit insurance for 110% of the total invoiced value. Should the Buyer(s) desire to cover other risks besides the risk mentioned above or for an amount exceeding the 110% of the total invoiced value, the Seller’s approval must first be obtained and the Buyer(s) shall bear the costs of all additional premium charges incurred as a result of the additional cover.

Place of Destination: DOMESTIC PORT.
7.交货期限：自收到供货通知之日起的__10__天内。如有其他原因延迟交货的，卖方应及时通知买方。
Time of Delivery: Within [ 10 ] days after receipt of the notification of order. Seller shall notify its late delivery to Buyer in time if the late delivery is due to someother reasons.

Transportation Fees:
如买方一次性订货量超过___升（包括本数），卖方负责将货物运至买方指定地点，货物到达指定地点前的运输费用及其他费用由卖方承担。
Seller shall be responsible to deliver the product to the place as designated by buyer and shall be responsible for the transportation fees and other expenses for the product to be transported to the designated place in case that the quantity of the product purchased by Buyer is over___ Liter (including the amount)
如果买方一次性订货量不足____升的，卖方负责将货物交付运至买方指定地点，货物到达指定地点前的运输费用及其他费用由买方承担。
Seller shall be responsible to deliver the product to the place as designated by Buyer, but Buyer shall be responsible for the transportation fees and other expenses for the product to be transported to the designated place in case that the quantity of the product purchased by Buyer is less than __Liter.
10.送货单的签收
Signature on Delivery Note:
买方在收货时应在卖方的签收单上签字或加盖公章或双方事先书面确认的其他印章或由买方指定的代理人在卖方的送货单上签字，否则卖方有权不予卸货，由此产生的损失由买方承担。
Buyer shall have signature or its company chop or other seals as confirmed by both parties in advance on Delivery Note or has its designated agent to sign on Delivery Note, otherwise Seller has the right not to unload the product at the time when Buyer accepts the product. All the losses occurred therefrom shall be born by Buyer.
11.付款条件：买方收货验收合格后，卖方须在30天内开具16%增值税发票并提供送货验收单，买方收到发票之日起60天内支付货款
Terms of Payment: After the buyer receives the acceptance, the seller shall issue 16 % VAT invoice within 30 days and provide the delivery acceptance certificate. The buyer shall pay the purchase price within 60 days from the date of receipt of the invoice

买方必须按照本合同的条款向卖方履行付款义务。对任何迟延付款，卖方有行使停止供货并要求买方就逾期部分以中国银行同等贷款利率支付利息的权利。
The Buyer(s) shall pay the Seller according to the terms of this Contract. The Seller has a right to stop shipment and request the Buyer(s) to pay interest on the amount in delay at the official loan rate of the Bank of China for any late payment.

12.商品检验：由卖方签发的品质、数量、重量证书，作为品质、数量/重量的交货依据。
Inspection: The Certificate of Quality, Quantity/Weight issued by the Seller shall be taken as the basis of delivery.
13.不可抗力：如果由于不可抗力事件或任何其他超出卖方合理控制范围的原因，使卖方不能交货或者不能在本合同规定的期限内交货，则卖方不负担责任。但卖方应当立即将不可抗力事件通知买方，如果买方提出要求，卖方应以挂号函的形式向买方发出不可抗力事件的通知。
Force Majeure: The Seller shall not be held responsible if, owing to a Force Majeure event or any other reasons beyond the reasonable control of the Seller , the Seller fails to deliver the goods or fails to do so within the time stipulated in this Contract. The Seller shall inform the Buyer(s) immediately of a Force Majeure event and if requested by the Buyer(s), shall deliver a notice to the Buyer(s) of the Force Majeure event by registered post.
14.异议和索赔：如果卖方不能在本合同规定期限内交付整批或一部分的货物，除非由于不可抗力事件或者取得买方同意而修改本合同规定外，买方有权撤销在本合同第6规定的装运期限后10天内未履行部分的合同，并赔偿相应损失。如果货到买方后买方发现货物的品质有问题，买方应当书面通知卖方其依照本条提出索赔的意图，并提供该等索赔的证据。
Objection and Claim: Where the Seller fails to deliver all or part of the goods within the time stipulated in this Contract, the Buyer(s) shall have the right to cancel the part of the Contract which has not been performed within 10 days following the time of shipment set out in Clause 6 above and compensate relevant losses, except where such failure to deliver is due to a Force Majeure event or the Contract is modified upon the Buyer(s)"s consent. Where the Buyer(s) discover problems with the quality of the goods after they are delivered the Buyer(s) shall notify the Seller in writing of its intention to claim under this Clause and provide proof of such claim.
15.卖方保证所提供的货物是以良好的原料和工艺制成，并且符合卖方当前产品说明书的要求。
The Seller warrants the goods are made with sound materials and workmanship and comply with Seller"s then current published product data sheets.
16.原则上保养油漆不可退，但因卖方原因造成的退货除外；
In principle, the Buyer(s) cannot return the sea stock paints delivered .
17.违约责任：若由于任何一方违反本合同，而导致另一方受到任何损失或损害，违约方应当赔偿另一方因此而遭受或发生的直接损失、损害、费用和开支。
Liability for breach of contracts: Either party who breaches this contract shall be liable to compensate the direct losses, damages, costs and expenses suffered by other party as a result of the breach.
18.若在合同履行期间，任何一方出现经营状况恶化、涉及重大诉讼等危及其履约能力的情形时，应当及时书面通知另一方说明情况并提供另一方认可的担保，否则另一方有权解除合同。
In the performance of contracts, if crisis such as deteriorating business conditions, major lawsuits involving occur to either party and endanger their performance abilities, either party shall notify other party in writing to explain and provide acceptable guarantee, or other part has right to terminate the contract.
19.本合同受中华人民共和国法律管辖。
This Contract is governing by the law of the People"s Republic of China (PRC).
20.争议：因签署或执行本合同发生的一切争议或分歧，双方应通过友好协商解决。若协商不能达成协议的，争议或分歧应当提交福州仲裁委员会。
Dispute: the parties shall settle all disputes or differences arising out of the signing or execution of this contract through friendly negotiation. If no agreement can be reached through negotiation, disputes or disputes shall be submitted to the XXinternational economic and trade arbitration commission for arbitration in XX
21.语言：如果本合同的中文文本与英文文本有不一致之处，应以中文文本为准。
Language: In the event there is any discrepancy between the English and Chinese versions of this Contract, the Chinese version shall prevail.
22.义务：本合同的签约双方，即上述卖方及买方，应当承担按照本合同的条件和条款履行其义务的完全责任。凡应签署/执行本合同或有关合同所发生的一切争议应由签约双方根据本合同的规定解决。
Obligation: Both parties to this Contract shall assume full responsibilities in fulfilling their obligations according to the terms and conditions of this Contract. Any dispute arising from the execution/performance of or in connection with this Contract shall be settled in accordance with terms of this Contract.
23.卖方的销售条款是本合同不可分割的一部分，与本合同具有同等的法律效力。
The Seller’s conditions of sales shall constitute an integral part of this Contract and shall also be equally authentic as the Contract.
合同附件：本合同包含下列附件，该些附件与本合同同等有效，合同附件应作为合同一部分进行盖章确认。
